Cognivex Labs provides AI-powered software-as-a-service tools including, but not limited to, AI Writer, AI Image Studio, AI Chatbot Builder, AI Analytics, AI Code Assistant, and AI Voice tools. These Services are designed to help businesses and individuals leverage artificial intelligence to enhance productivity and workflows.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

Your Content: You retain ownership of the content you input into our Services. By using our Services, you grant us a limited license to process and analyze your content solely to provide the Services. We do not use your content to train our AI models without your explicit consent.

6. Payment and Billing

For paid plans:

• Fees are charged in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your account

7. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime when possible.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNIVEX LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cognivex Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, your right to use the Services will cease, and we may delete your account and data after a reasonable retention period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
